Terms of Service

1. Acceptance of Terms
By accessing or using any service provided by IO Intelligence Inc. ("IOI", "we", "our", or "us"), including our website, mobile applications, IoT platforms (DOJO, DMP, Billing), and data connectivity plans, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
2. Description of Services
IOI provides the following Services:
- IoT Connectivity Plans — NB-IoT and LTE M2M data plans on the T-Mobile network
- DOJO — Device Journey Orchestration platform for real-time event streaming and automation
- DMP — TR-069 compliant Device Management Platform
- Billing Platform — MVNO billing and charging system
- Consulting Services — IoT, telecom, data, and application development consultancy
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts to use our Services. By using our Services, you represent that you meet these requirements and that all information you provide is accurate and current.
4. Account Registration
Some Services require account registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at info@iointel.com if you suspect unauthorized access.
5. Payment and Billing
- Subscription fees are billed monthly in advance unless otherwise agreed in writing
- Overage charges are billed at the rates specified in your selected plan
- All fees are non-refundable except as required by law or stated in a written agreement
- IOI reserves the right to suspend Services for non-payment after 10 days' notice
- Prices may change with 30 days' written notice
6. Acceptable Use
You agree not to use our Services to:
- Violate any applicable law or regulation
- Transmit unlawful, harmful, or fraudulent content
- Interfere with or disrupt the integrity of our networks or infrastructure
- Attempt to gain unauthorized access to any systems or data
- Resell or sublicense our Services without prior written consent
7. Intellectual Property
All content, software, technology, and trademarks associated with our Services are the property of IO Intelligence Inc. or our licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent. Your use of our Services does not grant you ownership of any intellectual property rights.
8. Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any loss arising from Service interruptions beyond our reasonable control.
9. Limitation of Liability
To the maximum extent permitted by law, IOI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid to us in the three months preceding the claim.
10. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free or meet your specific requirements.
11. Termination
Either party may terminate the service agreement with 30 days' written notice. IOI may terminate immediately if you breach these Terms or engage in fraudulent or illegal activity. Upon termination, your access to the Services will cease and any outstanding balances become immediately due.
12. Governing Law
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of King County, Washington.
13. Changes to Terms
We may update these Terms at any time. Continued use of our Services after changes constitutes acceptance. We will provide 30 days' notice of material changes via email or prominent notice on our website.
